Wholly Owned Foreign Enterprise (WOFE)
WOFE represents full ownership by the foreign investors and is a limited liability company that is suitable for those wanting to either manufacture, trade or consult in China.
While setting up a WOFE is becoming an increasingly popular choice for foreign companies, a long-term strategy and careful consideration should be given to cost and regulatory obligations.
This type of entity requires the joining together of two parties, one a local Chinese company and the other a foreign company. Typically companies go into JV's when the two partners are mutually complimentary, i.e. where the Chinese party has the factory and machinery and the Australian Party has the knowhow and technical design capabilities.
This business structure is for companies wanting to do market research in China. It is not suitable for a company that wants to conduct trade activities or source and invoice new customers there.
